1. Legal Agreement

These Terms and Conditions ("Terms") constitute a binding legal agreement between the user (“you”, “your” or “Customer”) and OYL Therapy Enterprise (“we”, “our” or “us”).  OYL Therapy Enterprise owns and holds this website and content therein including but not limited to brand OYL Therapy (Oils You’ll Love) its logo as appearing on the website, abbreviations, design, slogan (Oils You’ll Love), color theme, artistic expression and all products, formulations, branding, intellectual property rights, business interests, rights, entitlements and claims connected therewith. By accessing, browsing or using this website or purchasing our products, you acknowledge that you have read, understood and agreed to be bound by these Terms, our Privacy Policy and any other legal notices posted on this site all of which form an integral part of this Agreement.

 

2. Capacity and Eligibility

You affirm that you are at least 18 years of age, legally competent and possess the capacity to contract under the Contract Act, 1872 as amended from time to time. Persons who are "incompetent to contract" within the meaning of Section 11 of the Act are not eligible to use this website.

 

3. Nature of Products and Intended Use:

a)     Many of the products offered for sale on this website are manufactured using essential oils and natural ingredients as mentioned on the respective labels. However, to ensure longevity of shelf life of products certain carefully selected preservatives and cosmetic grade chemicals are used as mentioned on the labels.

b)     The products are formulated for external, topical, cosmetic, beautification and personal care use only. These products, unless otherwise specifically directed, are not meant for oral consumption or ingestion.  These products are not intended or claim to diagnose, treat, cure or prevent any medical condition or disease and are not classified as medicinal products under the applicable laws of Pakistan. You are required to read the product description carefully before purchasing the products.

c)     While brand OYL Therapy endeavors to ensure the quality and integrity of its formulations, we expressly disclaim any and all warranties, express or implied, regarding the efficacy, performance, suitability or results derived from the use of our products. The outcome of using such products may vary significantly among individuals based on skin type, allergies, pre-existing conditions or environmental factors. As such, no representation or guarantee is made that the use of our products will result in any specific outcome or benefit.

d)     Customers are solely responsible for determining the suitability of any product prior to purchase and use. A patch test is strongly recommended prior to full application. Users with known sensitivities, medical conditions or those who are pregnant or breastfeeding should consult a qualified medical professional before buying/using any of our products.

e)     To the maximum extent permitted under applicable laws, OYL Therapy Enterprise, its owners, affiliates and agents shall not be held liable for any adverse reaction, allergic response, or unsatisfactory results experienced by any individual and/or Customer as a consequence of using our products.

 

4. Orders and Formation of Contract

An offer to purchase our products is made when you complete the online checkout process. The contract is deemed formed upon our confirmation of the order, subject to receipt and verification of payment. We reserve the right to reject or cancel any order at our sole discretion without incurring liability.

 

5. Pricing, Payment, and Taxes

All prices are quoted in Pakistani Rupees (PKR). Prices are subject to changes/revisions at our sole discretion. Payment must be made only through approved channels listed on the website. We do not accept liability for any errors in pricing or descriptions and reserve the right to rectify such errors post-order confirmation.

 

6. Shipping, Risk & Title

Delivery timelines are indicative and not guaranteed. Risk in the goods shall pass to the Customer upon delivery. Title of goods shall pass to the Customer upon full payment. Subject to clause 7, any damage, defect, or short delivery must be reported within 10 hours of receipt of ordered products otherwise the matter will be treated as a complete and closed transaction.

 

7. Returns and Refunds Policy

7.1. Owing to the hygienic and consumable nature of the products, return & exchange will only be accepted in the following circumstances:

       i.          Damaged, defective or expired products delivered;

      ii.          Incorrect item(s) shipped.

    iii.          Products packaging remains intact and products are unused.

7.2. A claim must be submitted in writing within 10 hours of delivery, accompanied by clear, valid and verifiable photographic evidence shared by the Consumer through its registered email address along with copy of sale receipt and courier tracking number. Claims submitted after 10 hours deadline shall not be entertained. Return claims shall be reviewed within 48 hours by us and the Customer shall be informed about the acceptance/rejection decision.

7.3. Upon acceptance of return claim, exchange with same products is permissible subject to availability. Exchange process shall commence on the receipt of the returned products (non-refundable cost and expense borne by the Customer for returning products for exchange to us) and the exchange process shall be processed within 7–14 working days of the receipt of the products approved for exchange. We reserve the right to reject return/exchange claims that do not meet the stipulated criteria.

7.4. No refunds are offered.

 

8. Limitation of Liability

8.1. The maximum extent permissible under applicable law including but not limited to the Contract Act, 1872 and Consumer Protection Laws in Pakistan:

8.1.1. OYL Therapy Pakistan disclaims all liability for direct, indirect, special, general, punitive, incidental or consequential damages, monetary or otherwise, including but not limited to, loss of data, money, income, profits or business.

8.1.2. Subject to clauses 7, 18 and 19, OYL Therapy Pakistan aggregate liability, whether in contract, tort, negligence or otherwise, shall not exceed the amount paid by you for the specific ordered product(s) in question/dispute.

 

9. Disclaimer of Warranties

9.1. All products and services are provided on an “as is” and “as available” basis without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose or non-infringement.

9.2. We ensure to offer the best quality products to you. However, we make no express or implied guarantees regarding the suitability, effectiveness or results of using our products and we expressly disclaim all such representations.

 

10. Intellectual Property Rights

All trademarks, trade names, logos, product names, slogans, design elements, images, text, and multimedia content available on this website are the exclusive property of OYL Therapy Enterprise and are protected under the applicable laws of Pakistan. You are strictly prohibited from reproducing, distributing, modifying or using any content from this website without our prior written consent.

 

11. Privacy and Data Protection

Your personal information is handled in accordance with our Privacy Policy. We do not sell or share your personal data with third parties except as necessary to fulfill orders or as required by law.

 

12. User Conduct and Prohibited Activities

12.1. By using this website, you agree not to:

i) Upload or transmit malicious code;

ii) Attempt unauthorized access to the website’s infrastructure;

iii) Infringe upon intellectual property rights of OYL Therapy Enterprise or third parties;

iv) Engage in any activity that disrupts or interferes with the website’s functionality.

12.2. Violation of these provisions may result in legal action and termination of access.

This website may contain links to third-party websites for user convenience. OYL Therapy does not control and assumes no responsibility for the accuracy, content, or practices of any such third-party websites. Use at your own risk.

 

16. Modification of Terms

We reserve the right to amend these Terms at any time without prior notice. Continued use of the website following any changes constitutes acceptance of the revised Terms. Users are advised to review these Terms periodically.

18. Dispute Resolution: Mandatory Negotiation by Customer

18.1. In the event of any dispute, claim, or controversy arising out of or in connection with the purchase, use or performance of the products or services offered by OYL Therapy Enterprise, the Customer agrees to first engage in good-faith negotiations with OYL Therapy Enterprise.

18.2. To initiate such negotiations, the Customer shall provide written notice to OYL Therapy Enterprise setting out the nature of the dispute. Both parties shall use best efforts to resolve the matter amicably within ten (10) business days of such notice.

18.3. If no resolution is reached, the Customer agrees to submit the dispute to binding arbitration in accordance with Clause 19 below.

18.4. Notwithstanding the above, OYL Therapy Enterprise reserves the unrestricted right to initiate legal proceedings directly in a court of competent jurisdiction at Lahore, Pakistan, without obligation to first participate in negotiations or arbitration.

19. Customer Arbitration Clause

19.1. All disputes referred to arbitration pursuant to Clause 18.3 shall be resolved in accordance with the Arbitration Act, 1940, by a sole arbitrator mutually appointed by the parties.

19.2. The arbitration shall be held at Lahore, Pakistan. The language of proceedings shall be English, and the arbitrator's award shall be final and binding.

19.3. If a dispute is taken to arbitration by the Customer, the Customer will be responsible for covering all arbitration-related costs. These may include the arbitrator’s fee, administrative charges and any other expenses. To begin the arbitration process, the Customer may be asked to deposit a reasonable amount in advance—set in good faith by OYL Therapy Enterprise—to cover the expected arbitration costs. This amount will be held securely and used only for actual arbitration expenses. Any unused balance will be refunded after the proceedings are completed.

19.3. This clause is applicable only to disputes initiated by the Customer. OYL Therapy Enterprise shall retain the right in its sole discretion to seek injunctive, declaratory, or monetary relief in courts at Lahore, Pakistan at its sole discretion.

 

20) Governing law and Jurisdiction

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Subject to the Arbitration Clause herein, the courts at Lahore Pakistan shall have exclusive jurisdiction over all matters relating to or arising from these Terms.

 

21) Legal Disclaimer

OYL Therapy Enterprise makes no representations or warranties regarding the therapeutic or medicinal value of its products. Information provided on this website does not constitute medical advice. Users are advised to consult a healthcare provider prior to use, especially in cases of allergies or medical conditions. Use of the website and purchase of products is at the sole risk of the user.

 

22) Force Majeure

OYL Therapy Enterprise shall not be liable for any delay or failure to perform any of its obligations under these Terms if such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, acts of terrorism, strikes, labor disputes, governmental actions or failure of suppliers or service providers.

 

23) Entire Agreement

These Terms constitute the entire agreement between OYL Therapy Enterprise and the Customer with respect to the use of the Website and purchase of products. They supersede all prior or contemporaneous communications, whether oral or written, regarding such subject matter.

 

24) Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the extent permitted by law.

 

25) Waiver

No waiver by OYL Therapy Enterprise of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by OYL Therapy Enterprise to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

 

26) Assignment

OYL Therapy Enterprise may assign or transfer its rights and obligations under these Terms to any third party without prior notice. The Customer may not assign any rights or obligations under these Terms without the prior written consent of OYL Therapy Enterprise.

 

27) Survival

The provisions of these Terms that by their nature should survive termination (including, but not limited to, disclaimers of warranties, limitation of liability, governing law, and dispute resolution clauses) shall survive the termination of any relationship between OYL Therapy Enterprise and the Customer.
